Terms of Service

1. Acceptance of Terms

By accessing or using the Cometrail website (cometrail.com) and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Cometrail ("we," "us," or "our").

2. Description of Service

Cometrail is a software-as-a-service (SaaS) analytics platform that provides merchants with visibility into agentic commerce traffic. Our platform captures and analyzes AI agent interactions with merchant stores through UCP (Universal Commerce Protocol) and ACP (Agentic Commerce Protocol), providing analytics, deal intelligence, configuration recommendations, and discovery monitoring.

3. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. Account and Access

Access to the Cometrail platform is currently provided through a waitlist-based early access program. By joining the waitlist, you are expressing interest in the platform and may be granted access at our discretion.

If and when you are granted access, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse-engineer, decompile, or disassemble any part of the Services
• Use the Services for any fraudulent, abusive, or illegal purpose
• Interfere with or disrupt the integrity or performance of the Services
• Scrape, harvest, or collect data from the Services by automated means without our consent
• Resell, sublicense, or redistribute access to the Services without authorization

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to the software, website, documentation, trademarks, and content, are owned by Cometrail or our licensors. Nothing in these Terms grants you any rights to our intellectual property except as expressly stated.

You retain all rights to your data. By using the Services, you grant Cometrail a limited, non-exclusive license to process your data solely as necessary to provide the Services as described in our Privacy Policy.

7. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cometrail is currently in beta. We do not guarantee that the Services will be uninterrupted, error-free, or that all features will be available at all times. Features, functionality, and pricing are subject to change during the beta period and beyond.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMETRAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cometrail, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

Either party may terminate this agreement at any time. You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
